Common
scenarios.
Illustrative engagements drawn from our practice ledger. Specifics anonymised, outcomes representative — not a guarantee.
USD 50k charter capital; IRC + ERC + tax code + bank account opened and first work permit issued within 25 working days.
Vietnamese-Korean JV in conditional sector. We secure sub-licence (food safety, alcohol retail) alongside the ERC.
Non-revenue RO for a French buying office. 4-year licence with chief representative work permit and TRC.
What we wish
every client knew.
Pitfalls and constraints we see weekly. Not legal advice — but the questions you should ask your counsel before signing anything.
Conditional sectors (education, healthcare, fintech, F&B with alcohol, real estate brokerage) require sub-licences in addition to the ERC.
Charter capital must match the IRC and must be funded within 90 days of registration via a designated capital account.
Foreign founders should not lease office space before the IRC is granted — the lease cannot be in the company's name until the ERC is issued.
A different
standard of care.
